These Terms of Service (the “Terms”) govern your access to and use of the Rezilia platform, mobile applications, websites (including taloshealth.ai and rezilia.app), and related services (collectively, the “Services”), operated by Talos Health Corp (“Talos Health,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Services. If you use the Services on behalf of an organization (such as an employer, hospital, or nonprofit), you represent that you are authorized to bind that organization to these Terms.
Rezilia is an AI-powered caregiver support platform that helps family caregivers coordinate care, organize information, and access wellbeing support, and provides organizations with aggregated, de-identified insights. The Services include care-coordination tools, an AI companion, resource directories, and, where applicable, integrations with healthcare systems.
We may add, change, suspend, or discontinue features at any time. Some features are offered in beta and may change or be withdrawn without notice.
The Services do not provide medical, clinical, psychological, legal, or financial advice, and are not a substitute for professional judgment. Rezilia is not a medical device and does not diagnose, treat, cure, or prevent any condition. Content and AI-generated guidance are for informational and organizational support only. Always seek the advice of a qualified physician, clinician, pharmacist, or other professional regarding any medical question or decision.
The Services are not for emergencies. If you or the person you care for is experiencing a medical emergency, thoughts of self-harm, or is in immediate danger, do not use the Services — call your local emergency number (911 in the U.S., 15 or 112 in France) or a crisis line such as 988 (U.S. Suicide & Crisis Lifeline) or 3114 (France) right away. The Services may surface crisis resources, but they do not monitor you in real time and are not a substitute for emergency services.
Never disregard or delay seeking professional advice because of something you read or received through the Services. Any reliance you place on the Services is at your own risk.
You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that the information you provide is accurate and complete.

You retain ownership of the information, messages, and materials you submit to the Services (“Your Content”). You grant Talos Health a worldwide, non-exclusive, royalty-free license to host, store, process, and use Your Content solely to operate, secure, and improve the Services, and to provide aggregated, de-identified insights, in each case consistent with our Privacy Policy and applicable law.
You are responsible for Your Content and represent that you have the rights necessary to submit it. Do not submit information about others unless you are permitted to do so. Please do not submit protected health information through public or unsecured channels except as expressly supported by the Services.
Our collection and use of personal information is described in our Privacy Policy, Cookie Notice, and Data Protection Policy. Where Talos Health acts as a Business Associate under HIPAA, its handling of Protected Health Information is governed by the applicable Business Associate Agreement in addition to these Terms.
If your access is sponsored by an employer, health plan, hospital, or nonprofit, additional terms agreed between Talos Health and that organization may apply. Organizations receive only aggregated, de-identified analytics; we do not share individual caregiver conversations, health details, or personally identifiable information with sponsoring organizations. Organizational customers are responsible for their own lawful basis to offer the Services to their members and for any required notices or consents.
The Services, including all software, models, text, design, and the Talos Health and Rezilia names and logos, are owned by Talos Health or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. No other rights are granted.
If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.
The Services may integrate with or link to third-party services (for example, healthcare systems, mapping, calendars, or payment providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or complete. Your use of the Services is at your own risk, and subject to Section 3 (Not Medical Advice — and Not for Emergencies).
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALOS HEALTH AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless Talos Health from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, the rights granted to you end; provisions that by their nature should survive (including Sections 7, 11, 13, 14, 15, and 18) will survive. Data handling after termination is described in our Privacy Policy.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms and update the effective date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, please stop using the Services.
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration or small-claims court is the state and federal courts located in Florida, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at connect@taloshealth.ai so we can try to resolve it informally. Nothing in these Terms limits any right you may have under mandatory consumer-protection laws of your place of residence.
